Independent Referral Partner Status

By participating in the FireShield Referral Partner Program ("Program"), you acknowledge and agree that you are acting solely as an independent referral source.

You are NOT:

• an employee of FireShield
• an agent of FireShield
• a licensed contractor salesperson for FireShield
• an insurance agent
• a public adjuster
• a wildfire inspector
• a fire official
• a code enforcement officer
• an authorized representative permitted to make binding statements on behalf of FireShield

Participation in this Program does not create any employment, partnership, agency, joint venture, franchise, or contractor relationship.

Scope of Authorized Activities

Referral partners are authorized ONLY to:

• distribute publicly available FireShield marketing materials
• provide general company contact information
• introduce interested property owners to FireShield
• direct property owners to communicate directly with authorized FireShield representatives

Referral partners are NOT authorized to:

• inspect properties
• evaluate wildfire conditions
• interpret laws, regulations, or fire codes
• determine compliance status
• provide insurance advice
• discuss insurance underwriting decisions
• provide pricing or estimates
• negotiate contracts
• collect payments
• sign documents
• provide technical recommendations
• guarantee outcomes
• make warranties
• bind FireShield in any agreement or representation

Mandatory Disclosure Requirement

Referral partners MUST clearly disclose the following during all homeowner interactions:

Failure to provide this disclosure constitutes a material violation of these Program Terms.

Prohibited Statements

Referral partners MAY NOT state or imply any of the following:

Referral partners may not use deceptive, misleading, coercive, threatening, or high-pressure sales tactics.

Required Response to Questions

If asked technical, legal, insurance, compliance, inspection, or pricing questions, referral partners must respond:

No Authority to Bind Company

Referral partners acknowledge and agree that they possess no authority to:

• make representations on behalf of FireShield
• alter FireShield policies
• create contractual obligations
• provide official company statements
• make guarantees of any kind

Only written statements issued directly by authorized FireShield representatives shall be considered official company communications.

Assumption of Responsibility

Referral partners are solely responsible for their own statements, conduct, and compliance with all applicable laws, regulations, licensing requirements, advertising rules, and solicitation requirements.

Referral partners agree not to engage in any activity that may constitute unlicensed contracting activity, unauthorized insurance activity, violate solicitation laws, create consumer deception, misrepresent FireShield services, or expose FireShield to regulatory complaints or liability.

Indemnification

Referral partners agree to indemnify, defend, and hold harmless FireShield, its owners, officers, employees, affiliates, and representatives from and against any claims, complaints, damages, fines, penalties, lawsuits, regulatory actions, liabilities, costs, or attorney fees arising out of unauthorized statements, misrepresentations, unlawful solicitation, regulatory violations, deceptive advertising, unlicensed activity, or conduct outside the scope of authorized referral activities.

Immediate Termination Rights

FireShield reserves the absolute right to terminate any referral partner, with or without notice, for unauthorized statements, deceptive conduct, consumer complaints, regulatory complaints, misrepresentation, noncompliance with these rules, or any conduct FireShield determines may create legal, reputational, or regulatory risk.

No Guarantee of Compensation

Referral participation does not guarantee compensation, commissions, referrals, continued participation, or business opportunities. FireShield reserves the right to modify, suspend, or terminate the Program at any time.
